Welcome to the GameCrafters Festival (“Event”). By participating in or attending this Event, whether as a sponsor, exhibitor, vendor, or attendee, you agree to comply with and be bound by the following Terms and Conditions (“Terms”). These Terms govern your participation and set forth the obligations, rights, and expectations of all parties involved.
2. General Terms
2.1 Event Overview:
The GameCrafters Festival is designed to bring together gaming enthusiasts, developers, publishers, and sponsors in a unique environment to showcase products, network, and engage with the community. Our goal is to ensure a successful and enjoyable experience for all participants.
2.2 Terms Modification:
The Organizer reserves the right to modify or update these Terms at any time. Any changes will be communicated through official channels, and continued participation in the Event implies acceptance of the updated Terms.
3. Event Schedule and Venue
3.1 Schedule:
The Organizer will make every effort to adhere to the advertised schedule of events. However, due to unforeseen circumstances (including but not limited to natural disasters, pandemics, or any other force majeure event), the schedule is subject to change. Any updates will be promptly communicated to participants.
3.2 Venue:
The Event venue is [Vu Studio Las Vegas], located at [Nevada]. The Organizer reserves the right to change the venue as necessary. Participants will be notified of any such changes as soon as possible.
4. Payments, Refunds, and Credits
4.1 Payment Terms:
All fees for booths, sponsorships, or other services must be paid in full by the dates specified in the respective agreements. Failure to meet payment deadlines may result in forfeiture of your participation or reserved space.
4.2 Refund Policy:
Payments are non-refundable, except under specific circumstances outlined in this section. If the Organizer cancels the Event and cannot reschedule it within one year from the original Event date, refunds may be issued at the Organizer’s discretion. In other cases, participants may receive a credit towards future events organized by the Organizer.
4.3 Credit Usage:
In the event of a rescheduled or canceled Event, any issued credits must be used within one year from the original Event date. Credits are non-transferable and may only be applied to future events organized by the Organizer.
5. Sponsor and Exhibitor Obligations
5.1 Material Submission:
Sponsors and exhibitors must provide all necessary materials, including but not limited to logos, promotional content, and other assets, to the Organizer no later than three weeks before the Event. Failure to do so may result in the inability to fulfill certain promotional obligations, for which the Organizer cannot be held liable.
5.2 Promotion Requirements:
All partners, including sponsors and exhibitors, are required to promote the Event through their channels (e.g., social media, newsletters, etc.) as part of the collaboration. The Organizer will provide promotional assets to facilitate this requirement.
5.3 Setup and Breakdown:
Sponsors and exhibitors are responsible for setting up their booths within the allocated time slots provided by the Organizer. All setup must be completed before the Event begins, and breakdown must occur within the designated timeframe after the Event concludes. The Organizer will not be responsible for any materials left behind after the Event.
6. Event Cancellation and Rescheduling
6.1 Cancellation by Organizer:
If the Event is canceled due to unforeseen circumstances, the Organizer will make reasonable efforts to reschedule within one year. In such cases, participants will be offered the option to transfer their fees to the rescheduled Event or to receive a credit for future events. No refunds will be issued unless the Event is permanently canceled.
6.2 Participant Cancellation:
If a participant chooses to cancel their involvement in the Event, no refunds will be provided. However, under special circumstances and at the Organizer’s discretion, a credit for future events may be issued.
7. Liability and Indemnification
7.1 General Liability:
The Organizer will take all reasonable precautions to ensure the safety and security of participants and their property during the Event. However, the Organizer cannot be held responsible for any loss, damage, or injury sustained during the Event.
7.2 Indemnification:
By participating in the Event, participants agree to indemnify and hold harmless the Organizer, its affiliates, and their respective officers, employees, and agents from any and all claims, liabilities, damages, and expenses arising from or in connection with their participation.
8. Intellectual Property and Media Rights
8.1 Use of Trademarks and Logos:
Participants grant the Organizer a non-exclusive, royalty-free license to use their trademarks, logos, and other intellectual property for promotional purposes related to the Event. This license extends to digital, print, and broadcast media.
8.2 Media Coverage:
The Organizer reserves the right to capture video, audio, and photographic content during the Event. By participating, all participants consent to the use of their likeness and any recorded content for promotional and commercial purposes.
9. Special Conditions for Sponsors and Exhibitors
9.1 Deliverables:
All deliverables required from sponsors and exhibitors must be submitted to the Organizer by the deadlines specified in the agreement. Failure to meet these deadlines may result in forfeiture of certain benefits without refund or credit.
9.2 Sponsorship Exclusivity:
Sponsors may be granted category exclusivity based on their agreement with the Organizer. The Organizer will make efforts to ensure that exclusivity terms are honored but cannot guarantee absolute exclusivity if unforeseen circumstances arise.
9.3 Event Promotion:
The Organizer guarantees at least one joint promotion with each sponsor. Details of this promotion will be mutually agreed upon by both parties.
9.4 Sponsorship Package Inclusions
Sponsors will receive a 10-minute slot on the main stage, which counts as one keynote address. Additional benefits will be outlined in the specific sponsorship agreement.
10. Miscellaneous Provisions
10.1 Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
10.2 Severability:
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect.
10.3 Entire Agreement:
These Terms constitute the entire agreement between the parties concerning the subject matter herein and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter.
